The INDEPENDENT COMMITTEE of AGROMINO evaluates the offer from MAJOR SHAREHOLDER
Major shareholder of Agromino A/S (“Company”), company Mabon investiční fond s proměnným základním kapitálem a.s. (“Mabon”), have today announced a mandatory bid to the Company shareholders to acquire all shares and warrants in Agromino (the “Offer”). Cash consideration per share constitutes SEK 17 and cash consideration per warrant constitutes SEK 0.0034.
As announced by press release on 21.11.2018, Agromino has within itself appointed an independent committee (the “Committee”), consisting of Jan Urban and Jiří Vyskočil, to represent the Company in connection with a potential mandatory bid. For the purposes of offer evaluation the Committee has appointed Jan Urban as its chairman.
The Committee will now evaluate the Offer and obtain a fairness opinion. The Committee will no later than two weeks prior to the expiry of the acceptance period announce its opinion of the Offer, including the reasons for its opinion.
